This terms and conditions is a contract between you and Zyne Trading Sdn. Bhd. that governs your use of Zyne Keep’s service which includes physical lockers (“the Locker”), and its online website (“the Site”) and/or mobile application (“the App”) operated by Zyne Trading Sdn Bhd. It is important that you read all of the terms and conditions carefully because you will be legally bound by this terms and conditions.

1. ACCEPTANCE OF THE TERMS AND CONDITIONS

   This terms and conditions apply to all visitors, users, and others who access or use the Locker, the Site and the App. Your access to and use of the Locker, the Site and the App is based on your acceptance of and compliance with this terms and conditions. If you do not agree to the terms and conditions of, in whole or in part, please do not use the Locker, the Site and the App. Use of the Lockers, the Site and the App is also governed by Zyne Keep’s Privacy Policy which is incorporated herein by reference and that you agree to abide by them. By agreeing to this terms and conditions, it means that you have also agreed and permitted us to collect, use and disclose information according to our Privacy Policy.

2. ACKNOWLEDGEMENT OF TRADEMARKS AND COPYRIGHTS

   Zyne Trading Sdn Bhd reserve all rights to all intellectual property including but not limited to logos, texts, designs, graphics, photos, videos, sounds, source codes and software (“Intellectual Properties”), whether registered or unregistered, in/on the Locker, the Site and the App. All Intellectual Properties are Zyne Trading Sdn Bhd’s properties or where applicable, Zyne Trading Sdn Bhd’s affiliates or third party’s intellectual properties. No part or parts of the Intellectual Properties of Zyne Trading Sdn Bhd’s Locker, the Site and the App or Zyne Trading Sdn Bhd’s affiliate or third party may be reproduced, altered, recompiled or decompiled, reassembled or disassembled, distributed, republished, displayed, broadcasted, advertised, transferred or transmitted in whatsoever manner or means.

3. LICENSE

   You acknowledge that the Locker, the Site and the App remain the properties of Zyne Trading Sdn Bhd and your usage and access to the services and functionalities of the Locker, the Site and the App are based on a non-exclusive and revocable license granted by Zyne Trading Sdn Bhd to you to enable you to use and access to the Locker, the Site and the App based on your subscription and registration subject to the terms and conditions contained herein.

4. NON-ASSIGNABLE

   The said revocable and non-exlusive license stated in clause 3 hereinbefore or whatsoever rights granted by Zyne Trading Sdn Bhd through the Locker, the Site and the App to you are non-assignable in whatsoever manner.

5. SERVICE DESCRIPTION

   Zyne Trading Sdn Bhd offers a new and convenient way of:-

   1. state your services (temporary storage); and
   2. collection point for parcel
6. REFUND

   Unless caused by the negligent and omission act on the part of Zyne Trading Sdn Bhd and through no fault of you and subject to the terms and conditions herein contained, all payment made to Zyne Trading Sdn Bhd are not refundable.

7. UNCLAIMED ITEM
   1. All parcel or items in the Locker must be collected within seven (7) days from the date of payment of deposit through the Site or the App subject to the charges shown in the Site or the App.
   2. All parcel or items in the Locker which was not collected within seven (7) days will classified as unclaimed item and Zyne Trading Sdn Bhd shall be entitled to unlock the Locker and remove the unclaimed item from the Locker. Such unclaimed item shall be redeemed at the warehouse of Zyne Trading Sdn Bhd and Zyne Trading Sdn Bhd may impose extra charges for redemption of the unclaimed item.
8. LIMITATION OF LIABILITY

   1. The liability of Zyne Trading Sdn Bhd for any loss and damages to the parcel or items arising out from using the Locker, the Site and the App however arising, explained or unexplained, shall be limited to:-

      1. RM100.00; or
      2. The actual value of the parcel or items.

      whichever is lower.

   2. Zyne Trading Sdn Bhd or its affiliates shall not be liable for any consequential losses or special damages whether or not Zyne Trading Sdn Bhd or its affiliates had knowledge that such damage might incur, including, but not limited to, loss of income and loss of profits.
   3. This limitation of liability shall apply in any action, including but not limited to action in contract or tort, against Zyne Trading Sdn Bhd.
9. PROHIBITED ARTICLE

   You shall not use the Lockers, the Site and the App for the purpose of storing or dropping off the following articles and undertake not to use the Locker, the Site and App for any illegal activities/purposes:-

   1. Prohibited Drugs under the law of Malaysia and any other countries;
   2. Explosive, hazardous and flammable products or items;
   3. Dangerous and/or controlled chemicals;
   4. Firearms;
   5. Cash in any currency;
   6. Living creatures;
   7. Any item of high value
10. REGISTRATION AND REPRESENTATION

    To use and access to the Locker, the Site and the App, you are required to register an account by using your phone number, facebook, google or any other email services and thereafter, a verification code will be sent to your mobile phone to verify your registration. You agree and represent to Zyne Trading Sdn Bhd that all the information provided and submitted by you are, to your best knowledge and belief, true, genuine and accurate and that no false information will be provided and submitted to Zyne Trading Sdn Bhd in using the Locker, the Site and the App.

11. TERMINATION

    In the event of any breach of the terms and conditions stated herein by you, Zyne Trading Sdn Bhd shall have the rights to suspend and ban your account, to revoke any licences granted to you, and/or to terminate Zyne Trading Sdn Bhd’s Service provided to you or any action which Zyne Trading Sdn Bhd may deem fit to take, without any notice to you. Zyne Trading Sdn Bhd reserves all the rights to claim for losses suffered as a result of your breach of the terms and conditions.

12. INDEMNIFICATION

    By using the Locker, the Site and the App, you agree that you shall defend, indemnify and hold us, our affiliates and all of our respective officers, directors, other users, employees and agents from any claims, costs, damages, losses, liabilities and expenses (including legal fees and costs) arising out of and in connection with:-

    1. your breach of any term of these terms and conditions;
    2. your breach of any law of Malaysia and any other countries; and
    3. your liabilities with any third party
13. DISCLAIMER
    1. You agree and acknowledge that the use of the Locker, the Site and the App are at your own risk.
    2. Zyne Trading Sdn Bhd make no warranty that:
       1. the Locker, the Site and the App will meet your requirements;
       2. the Locker, the Site and the App will be uninterrupted, timely or error free; or
       3. any information or material obtained by you by using the Locker, the Site and the App will meet your requirements.
    3. Except as expressly provided in these Terms and Conditions and to the fullest extent allowed and permitted by law, the Locker, the Site and the App are provided “as is”, “as available” and “with all faults”. All such warranties, representations, conditions, undertakings and terms, whether express or implied, are hereby excluded.
14. APPLICABLE LAW

    These terms and conditions shall be governed by and construed in accordance with the laws of Malaysia and you irrevocably submit to the exclusive jurisdiction of the courts of Malaysia.

15. MISCELLANEOUS
    1. Zyne Trading Sdn Bhd may from time to time, at its sole discretion amend, alter or replace any clause in this terms and conditions. Such amendment, alteration or replacement will be brought to your attention through any medium or platform deemed to be appropriate by Zyne Trading Sdn Bhd and by continuing using the Locker, the Site and the App upon notification, you shall deem to have accepted the amended, altered and replaced terms and conditions.
    2. In the event of any breaches of this terms and conditions by you, any inaction or delay in action by Zyne Trading Sdn Bhd shall not be construed, to the fullest extent allowed and permitted by law, as a waiver to Zyne Trading Sdn Bhd’s rights under this terms and conditions.
    3. In the event of occurrence of force majeure or unforeseeable event or any other event which is beyond the control of Zyne Trading Sdn Bhd including but not limited to act of god, war, invasion, riot, rebellion, national lock down (partial or full) or movement controlled order (condition or uncondition) by the government, Zyne Trading Sdn Bhd shall have the rights to suspend the services of the Locker, the Site and the App for indefinite period of time. There shall be no compensation or whatsoever claim against Zyne Trading Sdn Bhd for such suspension of services.
    4. If any clause in this terms and conditions is held to be illegal or invalid under the law or regulations, such clause shall be fully severable and this terms and conditions shall be construed as if such illegal or invalid clause had never comprised as part of this terms and conditions and the remaining clause of this terms and conditions shall remained in full force and effect and shall not be affected by illegal or invalid clause or by its severance from this terms and conditions.
    5. For your convenience and better experience, Zyne Trading Sdn Bhd may use, utilities, link third party’s website, online platform and the content therein to the Locker, the Site and the App. You acknowlegde and agree that such website, online platform and content therein are not within or under Zyne Trading Sdn Bhd’s control and as such, Zyne Trading Sdh Bhd shall not be held responsible for any error, omission or accurary in the third party’s website, online platform and the content or any personal data, information, privacy collected by the same from you as a result of you using their services and platform.
